HS2C.Org Terms of Use

1) Introduction; Contract Formation
a) Thank you for your interest in HS2C Org. (“HS2C,” “we,” “us,” or “our”) and our proprietary online portal available at https://portal.hs2c.org or other HS2C websites on which these Terms are posted (collectively, the “HS2C Portal” or “Portal”). These Terms of Service (“Terms”), together with our Privacy Policy at https://hs2c.org/privacy-policy (“Privacy Policy”), form a legally binding contract between you and HS2C regarding your access to and use of the HS2C Portal.
b) If you are accessing the HS2C Portal on behalf of a school, district, or other organization, you represent that you are authorized to bind that organization to these Terms. For clarity, if HS2C has a separate written agreement (e.g., a Master Services Agreement, Data Sharing Agreement, or Order Form) with your school, district, or organization (collectively, “Customer Agreement”), the Customer Agreement governs where it conflicts with these Terms.
c) PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE HS2C PORTAL, YOU AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE PORTAL.
2) Changes to These Terms
We may update these Terms in our discretion. Changes are effective when posted and apply to all subsequent access or use of the HS2C Portal. Your continued use following any change constitutes acceptance. Check this page periodically.
3) Changes to the HS2C Portal
We may modify, suspend, or discontinue any part of the HS2C Portal (including features, content, and availability) at any time without notice. We are not liable if all or any part of the Portal is unavailable at any time.
4) Eligibility and Authorized Users
a) Student Users: Students in grades 7–12 may use the HS2C Portal with appropriate district/school authorization and in accordance with applicable law, including FERPA and, where applicable, COPPA. Student accounts are provisioned or authorized by the district/school.
b) Parent/Guardian Users: Parents or legal guardians may access authorized parent features via the Parent Portal.
c) Counselor and Administrator Users: Counselors and administrators may use the Portal solely for legitimate educational interests and within the scope of their employment and the Customer Agreement.
d) Other Users: Sponsors or partners with approved HS2C accounts may access features expressly granted by HS2C.
5) HS2C Portal; License and Access
a) Subject to your ongoing compliance with these Terms (and any applicable Customer Agreement), HS2C grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the HS2C Portal for authorized educational purposes, including:
- High School to College Scholarship Guide (copyrighted),
- Goal Tracker,
- College Tracker,
- Student Profile,
- Parent Portal,
- Counselor Portal,
- Administrator Portal, and
- Advanced Analytics & Reporting, as made available to you by your school/district or HS2C.
b) All rights not expressly granted are reserved by HS2C.
6) Acceptable Use and Restrictions
You agree not to (and not to permit or encourage others to):
a) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Portal.
b) Copy, modify, create derivative works of, publicly perform, publicly display, or distribute the Portal (or any portion) except as expressly permitted.
c) Use any scraper, crawler, spider, bot, or other automated means to access, query, or copy the Portal or its data, or circumvent any access control or rate limit.
d) Upload, post, or transmit unlawful, infringing, harmful, or misleading content; or interfere with Portal operation or security.
e) Use the Portal in violation of applicable law, student privacy laws, district policies, or these Terms.
7) Ownership; Intellectual Property
HS2C and its licensors own and retain all right, title, and interest in and to the HS2C Portal, including the Scholarship Guide, tools, documentation, software, interfaces, features, analytics, and all related intellectual property rights. The HS2C name, logos, and marks (“Marks”) are the property of HS2C or its licensors. You may not use the Marks without HS2C’s prior written consent. No rights are granted by implication or estoppel.
8) User Content and Data; FERPA; Student Data
a) Definitions.
- “User Content” means content you submit to or through the Portal (e.g., goals, notes, profile details), excluding Student Data.
- “Student Data” means any information that directly relates to an identified or identifiable student and is provided to HS2C by a school or district, or by a student or parent at the direction of a school or district, for educational purposes.
b) Student Data Use and Protection. To the extent HS2C receives Student Data from or on behalf of a school or district, HS2C acts as a “school official” with a legitimate educational interest under FERPA and will use Student Data solely to provide the HS2C Portal and related services to the school/district and as permitted by the Customer Agreement and applicable law. HS2C will not sell Student Data or use it for targeted advertising.
c) User Content License. You retain ownership of your User Content. You grant HS2C a non-exclusive, worldwide, royalty-free license to host, process, display, and use your User Content solely to operate and improve the HS2C Portal and provide contracted services. For clarity, this license does not override protections applicable to Student Data.
d) SIS Integrations. Where enabled by the district, the College Tracker or other features may receive data through SIS or related integrations. You authorize HS2C to process such data to operate the Portal and provide analytics and reporting to authorized school/district users.
9) Privacy
Please review our Privacy Policy at https://hs2c.org/privacy for details on how we collect, use, disclose, and safeguard personal information, including Student Data. In the event of any inconsistency between these Terms and a Customer Agreement or a Data Privacy Addendum with a district, the latter controls with respect to Student Data.
10) Third-Party Services
The HS2C Portal may link to or integrate with third-party services or content. HS2C does not control and is not responsible for third-party services. Your use of third-party services is subject to their terms and privacy policies. Once you leave the HS2C Portal, these Terms no longer govern.
11) District/School Administration; Role-Based Access
Authorized district or school administrators control user provisioning and permissions for their institution (e.g., student, parent, counselor, administrator access; reporting rights). Counselors and administrators must use the Portal solely for legitimate educational purposes consistent with district policy and applicable law. Parents may only view their own student’s authorized information.
12) Feedback
If you provide feedback, suggestions, or ideas regarding the HS2C Portal or services (“Feedback”), you grant HS2C a perpetual, irrevocable, worldwide, royalty-free, fully transferable and sublicensable license to use and exploit the Feedback for any purpose without obligation to you.
13) Disclaimers
THE HS2C PORTAL, SCHOLARSHIP GUIDE, ANALYTICS, AND ALL INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HS2C DOES NOT WARRANT THAT THE PORTAL WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT ANY PARTICULAR OUTCOME (ADMISSION, SCHOLARSHIP AWARD, OR OTHERWISE) WILL BE ACHIEVED.
a) Some jurisdictions do not allow the exclusion of implied warranties; some exclusions may not apply.
14) Limitation of Liability
a) TO THE FULLEST EXTENT PERMITTED BY LAW:
- HS2C WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE PORTAL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- HS2C’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE PORTAL WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT PAID BY YOUR SCHOOL OR DISTRICT TO HS2C FOR THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM ALLOCABLE TO THE IMPACTED PORTAL FEATURES; OR (B) FIVE HUNDRED DOLLARS ($500) IF NO SUCH AMOUNTS WERE PAID.
b) These limitations apply to the maximum extent permitted by law and do not limit liabilities that cannot be limited by law.
15) Indemnification
You agree to defend, indemnify, and hold harmless HS2C and its officers, directors, employees, and agents from and against third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of: (a) your breach of these Terms; (b) your misuse of the HS2C Portal; or (c) your violation of applicable law or third-party rights. HS2C may assume the exclusive defense and control of any matter subject to indemnification; you will cooperate as reasonably requested.
16) Suspension and Termination
a) Termination by HS2C. We may suspend or terminate your access to the HS2C Portal at any time with or without notice if we believe you have violated these Terms, your account is compromised, or as required by law or the applicable Customer Agreement.
b) Effect of Termination. Upon termination, your license to use the HS2C Portal ends immediately and you must cease all access and use. Sections 7–8, 12–20 survive.
17) Data Retention; Student Records
HS2C retains data as directed by the applicable district/school and as required by law and the Customer Agreement. Requests for student record access, correction, or deletion should be submitted through the student’s school or district, which will coordinate with HS2C as needed to comply with applicable law.
18) No International Use
The HS2C Portal is intended for use within the United States. Access from other jurisdictions is at your own risk and responsibility and may be prohibited where unlawful.
19) Governing Law; Venue
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the state and federal courts located in Utah County, Utah for any dispute permitted to be brought in court.
20) Export Controls
You represent that you are not located in a sanctioned country and are not a prohibited party under U.S. export control or sanctions laws. You will not export or re-export the Portal or related technical data in violation of U.S. law.
21) Entire Agreement; Order of Precedence
These Terms and the Privacy Policy constitute the entire agreement between you and HS2C with respect to the HS2C Portal, except that any applicable Customer Agreement with your school/district supersedes any conflicting terms herein with respect to covered services and Student Data.
22) Assignment
You may not assign or transfer these Terms without HS2C’s prior written consent. HS2C may assign these Terms in connection with a merger, acquisition, or sale of assets.
23) Waiver; Severability
Failure to enforce any provision is not a waiver. If any provision is held invalid, the remainder remains in effect, and the invalid provision will be replaced by a valid provision that most closely reflects the parties’ original intent.

25) Notices for Parents and Students
a) Parent Access. Parents or legal guardians may access Parent Portal features as authorized by the school/district and applicable law. Access is limited to their own student’s information.
b) Student Safety. If you believe your account has been accessed without authorization, notify your school or district and HS2C immediately.
c) Sponsorships & Scholarships. HS2C may partner with sponsors and nonprofits to expand resources and scholarship availability. Participation does not guarantee awards. Selection criteria and administration for any scholarship program are governed by the applicable scholarship rules.
26) Continuous Improvement
We actively enhance the HS2C Portal based on user feedback from students, parents, counselors, and administrators. Features available to you may vary depending on your district configuration and contract.
Appendix A: Feature-Specific Terms
a) Scholarship Guide (Copyrighted). Licensed for educational use within the HS2C Portal by authorized users only. No reproduction, distribution, or external copying without HS2C’s written permission.
b) Goal Tracker; College Tracker; Student Profile. These tools are provided to support planning, academic tracking, and college/trade readiness. Outputs are guidance tools, not legal, financial, or admissions advice. Always consult your counselor and follow district policies.
c) Analytics & Reporting. Available to authorized counselors and administrators to monitor program completion, engagement metrics, and progress indicators to support student outcomes. Reports may not be exported or shared outside authorized use without district approval and compliance with applicable laws.
d) SIS Integrations. If enabled, the district authorizes HS2C to receive and process data from SIS and related systems strictly to provide the Portal and associated analytics.
